Ownership and object of the Web Platform

The Website <www.rubi.com> (hereinafter the "Website" or the "Platform") is a computer platform owned by RUBI TOOLS GROUP S.A. (hereinafter the "Company" or "RUBI GROUP"), a company legally incorporated under Spanish law with N.I.F. A-08244915, with address at Avinguda de les Olimpiades 89-91, 08191, Rubí (Barcelona) and registered in the Mercantile Register of Barcelona under volume 1808, book 1224, folio 127 and sheet number B-16888.

Our Website has been designed with the purpose of offering our Users, clients and consumers detailed information about our products and services.

The relations between the Website and the User will be governed by Law 34/2002, of July 11, Services of the Information Society and Electronic Commerce, by the Commercial Code, and other Spanish legislation that may apply.

Acceptance of the Terms and Conditions

The access to and use of our Platform as well as the information, services and content are subject to applicable legislation and governing regulations as well as to the provisions established in these Terms and Conditions of Use.

The User acknowledges and agrees to have read and understood the Terms and Conditions of Use of the Platform, whose content constitutes the entire agreement between the User and RUBI GROUP. By using any of the features of our Website, the User expressly acknowledges and agrees to be bound by the Terms and Conditions of Use as well as by the Platform's Privacy Policy and the other corporate policies of RUBI GROUP applicable. Likewise, the User acknowledges and accepts that the services and contents offered through the Platform do not infringe nor shall they be used to infringe the applicable legislation and/or regulations.

RUBI GROUP reserves the right to modify the Terms and Conditions of Use of the Platform without notice to the User. In this respect, the User should regularly checks the Terms and Conditions of Use.

Operations

Personal data. The visit to the Website does not imply that the User is obliged to provide any information about himself. In the event that he provides any personal information, the data collected will be used for the purpose, in the manner and with the limitations and rights set out in Regulation (EU) 2016/679 of the European Parliament and the Council of April 27 of 2016, resulting in such case our Privacy Policy.

Registration. All Users, whether registered or not, undertake to browse the Web and use the content in good faith.

During the registration process, personal data will be requested from the User in order to comply with the purposes related to being able to attend his requests and keep his informed, including by electronic means, about our products and services.

Age. The User declares that he/she is of legal age (over 18 years) and has the necessary legal capacity to acquire the products offered on the Website, stating that he accepts to be bound to this agreement and declares to understand and fully accept the present

Terms and Conditions.

In the event that the User is underage, the authorization of the parents or guardians is required in order to acquire products through the Website, by means of a sufficient documentary evidence (e-mail or fax enclosing a duly signed authorization letter and a photocopy of the ID or passport that the Company would request prior to the acquisition of the products for these purposes).

Exclusions of Liability

Due to unforeseeable situations that characterize technological environments and the Internet, RUBI GROUP reserves the right to temporarily suspend access or any of the features offered by the Platform, either for technical, security reasons or maintenance reasons. Also, RUBI GROUP reserves the right to implement and make changes and/or updates to the Website at any time, with or without prior notice. In any case, the User acknowledges and accepts that RUBI GROUP may carry out certain actions to prevent the User from accessing the Platform at certain times for limited periods. In this sense, the User accepts that RUBI GROUP will not be responsible, as a result of said actions, for the elimination or failure to make available certain contents or functionalities of the Web platform.

RUBI GROUP does not represent or guarantee the obtaining of concrete results after using the services of the Platform. Consequently, under no circumstances will RUBI GROUP, its representatives, directors, employees be liable for any incidental, fortuitous, special or consequential damages, including, but not limited to, any loss of profits, data or business opportunities, errors of software, whether or not they are foreseeable and that result or have direct or indirect connection with the use of the Platform.

RUBI GROUP is not responsible in any way for those contents, activities of any kind, products and services that can be accessed through electronic links, directly or indirectly, through our Platform, including those Websites of brands that collaborate with RUBI GROUP. The links included or that may be included in our Website do not represent any kind of relationship between RUBI GROUP and the natural or legal persons who own the Websites that can be accessed through these links, nor does it imply any suggestion, invitation or recommendation about the site or its contents.

RUBI GROUP is not responsible for any loss or damage that the User may suffer as a consequence of the inappropriate use of the Platform or if the User breaches the Terms and Conditions of the Website.

Intellectual property

The User acknowledges and accepts that all the rights, titles and interests of and associated with the Web Platform, its contents and computer applications, if any, including any modification, update and new versions as well as any brand, commercial name, know how, copyrights, domain names and any other industrial or intellectual property rights inherent in the Platform are the exclusive property of RUBI GROUP or are used by RUBI GROUP under license and with the due authorization of the holders of said rights, titles or interests. In this sense, the User does not acquire any right of intellectual or industrial property for the simple use of our Website and any of its functionalities, with which, at no time will such use be considered as an authorization or license to use the contents of the Platform for purposes other than those contemplated in these Terms and Conditions of Use.

By virtue of the aforementioned, the total or partial reproduction, modification, transformation, copying, distribution, public communication or any other form of exploitation of the Website, its contents, applications, design and presentation of its contents as well as its source code and all those elements that make up the structure and appearance of the Platform is prohibited. Likewise, the User acknowledges and accepts that it is forbidden to decompose, reverse engineer or perform derivative works of the software that supports the operation and access to the Web page and the services contained therein.

Failure to comply with any of the provisions stipulated herein will mean that RUBI GROUP will take the relevant legal actions against the infringer or infringers to defend its rights, titles and interests, including the right to claim the corresponding damages.

Privacy Policy, Data Protection and Cookies Policy

Upon acceptance of these Terms and Conditions of Use, the User acknowledges and agrees to have read, understood and accepted our Privacy Policy and Cookies Policy.

Breach

In case of breach of any of the commitments specified herein, the provision of the service through the Web to the User may be terminated or suspended, at any time, unilaterally and without prior notice.

This suspension or withdrawal will not, in any case, give any right to compensation to the User.

Applicable Law and Jurisdiction

The interpretation and application of the Terms and Conditions of Use of the Platform will be governed by Spanish Legislation. For the resolution of any discrepancy that may arise in the interpretation and/or execution of the Terms and Conditions of Use established herein, the parties submit to the jurisdiction and competence of the Courts of Barcelona. However, in the event that the Spanish or Regional Legislation for the Defense of Consumers and Users establishes the possibility that the User chooses the jurisdiction corresponding to his place of residence, the provisions of said regulations shall be followed.

El lloc web <www.rubi.com> (d’ara endavant la «Web» o la «Plataforma») és una plataforma informàtica propietat de RUBI TOOLS GROUP S.A. (D’ara endavant l’«Empresa» o «RUBI TOOLS GROUP»), societat legalment constituïda sota la legislació espanyola amb N.I.F. La nostra pàgina Web ha estat dissenyada amb la finalitat d’oferir els nostres usuaris, clients i consumidors informació detallada sobre els nostres productes i serveis.

Les relacions entre el Web i l’Usuari es regiran per la Llei 34/2002 de l’11 de juliol de Serveis de la Societat de la Informació i de Comerç Electrònic, pel Codi de Comerç i d’altra legislació espanyola que sigui d’aplicació.

Acceptació dels Termes i Condicions

L’accés a i l’ús de la nostra Plataforma, així com la informació, serveis o contingut estan subjectes a la legislació i normativa reguladora aplicable, així com a les disposicions establertes als presents Termes i Condicions d’Ús.

L’Usuari reconeix i accepta haver llegit i comprés els Termes i Condicions d’Ús de la Plataforma, el contingut dels quals constitueix la totalitat de l’acord entre l’Usuari i RUBI TOOLS GROUP. En utilitzar qualsevol de les funcionalitats de la nostra Web, l’Usuari expressament reconeix i accepta obligar-se pels Termes i Condicions d’Ús, així com per la Política de privadesa de la Plataforma i d’altres polítiques corporatives de RUBI TOOLS GROUP que siguin d’aplicació. Així mateix, l’Usuari reconeix i accepta que els serveis i continguts oferts a través de la Plataforma no infringeixen ni hauran de ser utilitzats per infringir la normativa i/o regulacions vigents aplicables.

RUBI TOOLS GROUP es reserva el dret de modificar els termes i condicions d’Ús de la Plataforma sense mitjançar notificació específica a l’Usuari. En aquest sentit és important que l’Usuari consulti els Termes i Condicions d’Ús regularment.

Operativa

Dades personals. La visita al Web no suposa que l’Usuari estigui obligat a facilitar cap informació sobre si mateix. En cas que proporcioni alguna informació de caràcter personal, les dades recollides seran utilitzades amb la finalitat, en la forma i amb les limitacions i drets que recull el Reglament (UE) 2016/679 del Parlament Europeu i del Consell de 27 d’abril de 2016, resultant en tal cas la nostra Política de Privadesa.

Registre. Tots els usuaris, tant els registrats com no, es comprometen a navegar pel Web i a utilitzar el contingut de bona fe.

En el procés de registre se li sol·licitarà informació personal a l’Usuari per poder acomplir les finalitats relatives a poder atendre les seves sol·licituds i poder mantenir-lo informat, fins i tot per mitjans electrònics, sobre els nostres productes i serveis.

Edat. L’Usuari declara que és major d’edat (major de 18 anys) i que disposa de la capacitat legal necessària per contractar els productes oferts al Web, manifestant així mateix que accepta la vinculació a aquest acord i declara entendre i acceptar en la seva totalitat els presents

Termes i Condicions..

En cas que l’Usuari sigui menor d’edat, es requereix en tot cas l’autorització dels pares o tutors per poder contractar productes a través del Web, mitjançant aportació documental suficient (correu electrònic adjuntant carta d’autorització degudament firmada, aportant fotocòpia del DNI o passaport, o el seu enviament per fax, que a aquests efectes sol·licitaria l’Empresa prèviament a la contractació dels productes).

Exclusions de Responsabilitat

Pel que fa a les situacions imprevisibles que caracteritzen els entorns tecnològics i a internet, RUBI TOOLS GROUP es reserva el dret de suspendre temporalment l’accés o qualsevol de les funcionalitats oferides per la Plataforma, ja sigui per raons de caràcter tècnic, per motius de seguretat o per manteniment. Així mateix, RUBI TOOLS GROUP es reserva el dret d’implementar i realitzar canvis i/o actualitzacions del Web en qualsevol moment, amb o sense notificació prèvia. En qualsevol cas, l’Usuari reconeix i accepta que RUBI TOOLS GROUP podrà realitzar determinades accions per impedir l’accés de l’Usuari a la Plataforma en determinats moments per períodes limitats. En aquest sentit, l’Usuari accepta que RUBI TOOLS GROUP no serà responsable, com a resultat d’aquestes accions, de l’eliminació o fallada de la posada a disposició de certs continguts o funcionalitats de la plataforma Web.

RUBI TOOLS GROUP no representa ni garanteix l’obtenció de determinats resultats després de la utilització dels serveis de la Plataforma. En conseqüència, sota cap circumstància RUBI TOOLS GROUP, els seus representants, directors o empleats seran responsables de qualsevol dany incidental, fortuït, especial o conseqüencial, inclòs a títol enunciatiu però no limitatiu qualsevol pèrdua de guanys, dades o oportunitats de negoci, errors de programari, tinguin o no caràcter previsible i que resultin o tinguin connexió directa o indirecta amb l’ús de la Plataforma.

RUBI TOOLS GROUP no es responsabilitza de cap manera d’aquells continguts, activitats de qualsevol tipus, productes o serveis als que es pugui accedir mitjançant enllaços electrònics (links), directament o indirecta, a través de la nostra Plataforma, inclosos aquells llocs Web de marques que col·laboren amb RUBI TOOLS GROUP. Els enllaços inclosos o que puguin arribar a incloure’s a la nostra pàgina Web no representen cap tipus de relació entre RUBI TOOLS GROUP i les persones físiques o jurídiques titulars dels llocs Web als quals pot accedir-se mitjançant aquests enllaços, ni suposa cap suggeriment, invitació o recomanació sobre el lloc o els seus continguts.

RUBI TOOLS GROUP no es responsabilitza de qualsevol pèrdua o dany que pugui sofrir l’Usuari com a conseqüència de l’ús inadequat de la Plataforma, o si l’Usuari incompleix els Termes i Condicions del Web.

Propietat intel·lectual

L’Usuari reconeix i accepta que la totalitat dels drets, títols i interessos de i associats a la Plataforma Web, els seus continguts i aplicacions informàtiques, si s’escau, inclosa qualsevol modificació, actualització o noves versions, així com qualsevol marca, nom comercial, saber fer, drets d’autor, noms de domini i qualsevol altre dret de propietat industrial o intel·lectual inherent a la Plataforma són propietat exclusiva de RUBI TOOLS GROUP o són utilitzats per RUBI TOOLS GROUP sota llicència i amb la deguda autorització dels titulars d'aquests drets, títols o interessos. En aquest sentit, l’Usuari no adquireix cap dret de propietat intel·lectual o industrial pel simple ús de la nostra Pàgina Web i de qualsevol de les seves funcionalitats, per tant, en cap moment aquest ús serà considerat com una autorització o llicència per utilitzar els continguts de la Plataforma amb finalitats diferents a les que es contemplen als presents Termes i Condicions d’Ús.

En virtut del que s’ha dit anteriorment, queda prohibida la reproducció total o parcial, modificació, transformació, còpia, distribució, comunicació pública o qualsevol altra forma d’explotació sobre la pàgina Web, els seus continguts, aplicacions, disseny i forma de presentació dels seus continguts, així com el seu codi font i tots aquells elements que conformin l’estructura i aparença de la Plataforma. Així mateix, l’Usuari reconeix i accepta que queda prohibit descompondre, realitzar enginyeria inversa o realitzar obres derivades del programari que suporta el funcionament i accés a la pàgina Web i dels serveis continguts en ella.

L’incompliment de qualsevol de les disposicions aquí estipulades comportarà que RUBI TOOLS GROUP exerceixi en contra de l’infractor o infractors les accions legals pertinents per a la defensa dels seus drets, títols i interessos, inclosa la facultat de reclamar els danys i perjudicis que corresponguin.

Política de Privadesa, Protecció de Dades i Política de Cookies

A l’acceptació dels presents Termes i Condicions d’Ús, l’Usuari reconeix i accepta haver llegit, comprés i acceptat la nostra Política de Privadesa i Política de Cookies.

Incompliment

En cas d’incompliment de qualsevol dels compromisos especificats en la present, es podrà donar per finalitzada o suspendre, en qualsevol moment, de forma unilateral i sense avís previ, la prestació del servei a través del Web a l’Usuari.

Aquesta suspensió o retirada no donarà en cap cas dret a cap indemnització a l’Usuari.

Llei Aplicable i Jurisdicció

La interpretació i aplicació dels termes i condicions d’ús de la Plataforma es regiran per la Legislació Espanyola. Per a la resolució de qualsevol discrepància que pogués sorgir en la interpretació i/o execució dels Termes i Condicions d’Ús aquí previstos, les parts es sotmeten a la jurisdicció i competència dels Tribunals de Barcelona. No obstant, en el cas que la Legislació Espanyola o Autonòmica per a la Defensa de Consumidors i Usuaris estableixi la possibilitat que l’Usuari triï el fur corresponent al seu lloc de residència, es procedirà conforme a allò disposat en aquesta normativa.
